Terms and Conditions: For Traders

The following terms and conditions apply to all services provided by Namboo (“Namboo”, “we”, “our”) to you (“the trader”, “you”, “your”).
It is not necessary for you to have signed an acceptance of these terms and conditions for these to apply. When you complete the application form and tick “I agree” before submitting the form then you will be deemed to have satisfied yourself as to the terms applying and have accepted these terms and conditions in full. The form cannot be submitted without ticking this box.
Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.
The trial period
The free trial period for all traders in runs until the 30th September 2018 (“the trial period”). This may be extended at the discretion of Namboo.
The free trial offer includes set-up of a page on the Namboo website network, using content you have provided, and linking this to the appropriate categories on the Namboo website. After set-up, you will be provided with login details and instructions for how to manage orders and add or remove products from your page. During the trial period, Namboo will support you in updating your page. After trial period you will be advised of the process going forward.
You may cancel your listing at any time during the trial period by sending us an email . Your listing will be removed within 24 hour of receipt of the email (Monday – Friday, 9am – 5pm).
During the trial period, you will not pay any monies to Namboo unless you decide to pay for a feature advert on the website, on Facebook or in our newsletter. Prices for these additional services will be provided upon request and may change at any time.
Extending your listing
Two weeks before the end of the trial period, Namboo will contact you to offer to extend your listing for a commission fee or a subscription fee. Namboo is yet to determine the fee basis upon which it will operate and reserves the absolute right to make whichever offer it chooses at renewal time. If you choose to extend, a new contract will be put in place. Details will be shared at the time.
You are under no obligation to extend your listing. If you choose not to extend your listing, Namboo will close your page at the end of the trial period and it will no longer be accessible online. Namboo will not return any content from your page and you will owe no money unless you have paid for an additional service.
To apply, you must complete the application form and supply the content and details as requested by Namboo. Namboo has no responsibility for proving photos or writing copy or for the quality of the content you provide.
Namboo will notify you within 5 days of its decision whether to list you as a trader on the site. This will depend upon you meeting the criteria as listed.
Namboo reserves the right to refuse to list any business that does not meet our criteria and to remove any listing if a trader does not apply with the customer service standards. These will be provided after sign-up. Namboo’s decision is final and cannot be disputed by the trader or anyone acting for the trader. Criteria may be amended at any time and will affect new traders only. Any existing traders who no longer meet the criteria will retain their listing.
Traders do not have any exclusivity rights. You accept that other companies operating in the same category may be listed on Namboo.
You have full responsibility for obtaining permission and rights to use any information or files that are copyrighted by a third party. You indemnify Namboo against any claims resulting from inappropriate or misleading use of content, including but not limited to photos, logo, name and copy. Namboo has the right to disclose a user’s identity to any third party who is claiming that any material posted or uploaded by such user constitutes a violation of their intellectual property rights, or of their right to privacy. Namboo also has the right to remove any material or posting a user makes on the Namboo site.
You agree that no company details or means of contact will be provided on your page. You may contact customers after order to arrange payment and delivery using the details as provided by the customer or via the Namboo order system.
The website, including your trader’s page, remains the property of Namboo.
Namboo cannot be held responsible for any downtime caused by problems with the hosting or the Namboo website.
Namboo takes no responsibility for the legal status, or otherwise, of any traders listed on the site. It is the responsibility of traders to confirm with local laws and regulations.
Namboo commits to promoting the Namboo site via social media and other media but is not obligated to any minimum level of promotion.
You agree to Namboo using your name and your assets, including photos and logo, for promotional purposes in any media without your prior consent.
You also agree to Namboo commenting on and sharing any of your posts, or any posts about your brand or products, on Facebook.
Namboo takes no responsibility for the transaction between you and a customer, whether the customer makes an order on the Namboo website or not.
You agree to take complete responsibility for any communication with customers or potential customers and to fulfil orders in line with the prices and delivery terms as specified on your page.
Namboo can’t be held liable for any products that you sell. This includes, but is not limited to, products that do not meet the description and products that cause harm.
Cancellation of trader’s page
You may cancel your listing at any time by sending us an email . Your listing will be removed within 24 hour of receipt of the email (Monday – Friday, 9am – 5pm).
Namboo may cancel your listing in the following situations:
- If any payments are not made by the due date
- If your business changes and no longer meets the criteria for traders
- If you do not receive any orders via the site in a 1 month period
- If we are unable to contact you to check details or share information despite trying on at least 3 occasions over a 2 week period via the contact details provided
- In case of repetitive customer complaints that are not resolved or if measures are not put in place to resolve the issues
Changes to Namboo
Namboo reserves the right to make changes to the site, including trader pages, at any time. This includes design and functionality changes and may include the way orders are taken on the site, for example, changing to a centralised ordering system. Traders will be advised in advance of any significant changes.
You agree that you will protect all information provided by customers, that you will store it securely, that you will not share this data with any third party and that you will only use it for the purpose of making a transaction and not for any future marketing or research purposes unless by explicit agreement with each customer.
Any additional policies should be established and publicised by each trader. Privacy policies can be added to your page if requested.
Customers will be encouraged to contact traders directly in case of problems or complaints and to resolve any issues directly. If they contact Namboo, Namboo will consider the complaint against our customer service expectations and discuss with the trader. Any traders persistently breaking expectations and not working with Namboo to resolve the issues may be removed from the site. This is at the sole discretion of Namboo.
Changes to Terms and Conditions
Namboo reserves the right, at our sole discretion, to modify or replace these terms and conditions at any time. If a revision is material we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
